Terms of Service
Effective date: September 22, 2026
This is a template describing the Service as built today. Replace the bracketed placeholders with your organization's legal details, fees, and governing law, and have it reviewed by qualified counsel before relying on it.
1. Acceptance of these terms
These Terms of Service (“Terms”) govern access to and use of the LMS platform (the “Service”), operated by [Legal Entity Name] (“we,” “us,” or “LMS”). By creating an account, signing in, or otherwise using the Service, you agree to these Terms. If you are agreeing on behalf of an organization (a “Tenant”), you represent that you have authority to bind that organization.
2. The Service
LMS is a multi-tenant learning management platform. Each Tenant gets its own isolated workspace with role-based access (superadmin, tenant admin, instructor, and member), course and lesson authoring tools, AI-assisted drafting and search features, and configurable branding. Features and availability may change as the Service evolves.
3. Accounts, tenants, and roles
- A Tenant administrator is responsible for the accuracy of the information used to create and manage accounts within that Tenant, and for its Users' compliance with these Terms.
- You are responsible for keeping your login credentials confidential and for all activity that occurs under your account.
- Access to features is governed by your assigned role. You agree not to attempt to access data or functionality outside your role's permissions.
4. Acceptable use
You agree not to use the Service to:
- Upload or publish content you do not have the right to share, or that infringes another party's intellectual property or privacy rights.
- Upload or publish unlawful, harassing, defamatory, or fraudulent content.
- Attempt to bypass tenant isolation, role-based access controls, or other security measures.
- Interfere with or disrupt the Service's operation, or attempt to access it by means other than the interfaces we provide.
- Use the Service's AI features to generate content that violates these Terms or applicable law.
5. Your content
You or your Tenant retain ownership of the courses, lessons, documents, and other content you create or upload (“Your Content”). You grant us a limited license to host, store, process, and display Your Content solely to provide and improve the Service, including sending relevant portions of Your Content to third-party AI providers as described in our Privacy Policy, strictly to generate the output you requested. You are responsible for having the necessary rights and permissions to upload Your Content and, where it includes other people's personal information, for handling that information lawfully.
6. AI-generated content
The Service uses third-party AI providers to draft, rephrase, and generate content, diagrams, and exam questions, and to power knowledge-base search. AI-generated output may be inaccurate, incomplete, or unsuitable for your purpose. You are responsible for reviewing AI-generated content before publishing or relying on it, and the Service provides it “as is,” without any warranty as to its accuracy.
7. Intellectual property
Aside from Your Content, the Service, including its software, design, and branding, is owned by us or our licensors and is protected by intellectual property laws. These Terms do not grant you any right to our trademarks or branding outside of the Service's per-tenant customization features.
8. Fees
Any fees for your Tenant's use of the Service, and the billing terms that apply, are as set out in your order form or separate written agreement with us. [Add pricing/billing terms here if the Service is paid.]
9. Suspension and termination
We may suspend or terminate access to the Service for a Tenant or User who violates these Terms or whose use poses a security or legal risk to the Service or other Tenants. A Tenant may stop using the Service at any time; upon termination, we will handle remaining data as described in our Privacy Policy.
10. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
11. Limitation of liability
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising from your use of the Service. [Add a liability cap and any carve-outs appropriate for your business.]
12. Indemnification
You agree to indemnify and hold us harmless from any claims arising from Your Content, your breach of these Terms, or your violation of applicable law.
13. Governing law
These Terms are governed by the laws of [Jurisdiction], without regard to its conflict of law principles.
14. Changes to these terms
We may update these Terms from time to time. We will post the updated Terms here and revise the effective date above. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
